AI for Venture Capitalists in 2026: Memos, Data Rooms, LP Letters

Deal flow, warm intros, IC memos, data rooms and LP reports: what AI can do at a venture fund in 2026, and which SEC rules reach exempt reporting advisers.

The Merlin team11 min read

AI can keep a venture fund's CRM current, surface warm intro paths, turn call notes into a first IC memo, pull figures out of a data room and draft the quarterly LP letter from portfolio metrics. It can't choose the company, set a mark or answer to an LP for a wrong number.

A fund runs on two clocks. Deals show up whenever they like, while quarter-ends, capital calls and annual meetings don't move. Associates, principals and GPs at smaller funds feel both at once, usually from the same inbox. What follows goes through the paper trail in the order a deal creates it, then sorts out the SEC rules, which differ for registered advisers and for the exempt reporting advisers (firms that file limited reports with the SEC without registering) many venture firms are. Nothing here is investment or legal advice.

AI at a venture fund, from first email to LP letter

The useful venture AI sits in four places: the relationship CRM, the company database, document review and the portfolio reporting system.

Deal flow and CRM upkeep

CRM upkeep is the best first job for AI at a fund, because the record of who met whom already exists in email and calendars. Logging a coffee is nobody's priority on a deal team, so the pipeline drifts, and an associate rebuilds it by hand the night before the Monday meeting.

  • Affinity lists Essential at $2,000 per user a year. Its $2,300 Scale plan adds a notetaker, AI Chat over your pipeline and network, its Ascend agents and an MCP server, which lets outside AI tools read Affinity data.
  • Attio is a general CRM you shape to your own process. It lists a free tier capped at three seats, then Plus at $35 and Pro at $79 a seat each month, billed yearly, and names call intelligence on Pro. Our comparison with folk, a lighter CRM, covers the differences.
  • Harmonic covers the sourcing side. Its Scout agent takes searches like early-stage startups founded by repeat founders and can run scheduled jobs. The pricing page lists 40 million companies and 200 million people but no prices.

Before you switch on automatic capture, look at whose mail feeds it. A partner's inbox holds LP side-letter talks, a founder's personal news and reference calls on an executive, and a shared CRM can show that to the whole firm. Set the exclusions first. And keep the reason for a pass in your own words, because that one line is what you'll want when the company comes back two years later.

Chasing warm intros

Most intro work is follow-through: you offered one at dinner, the portfolio CEO is waiting, and the connector hasn't answered the first ask. AI helps at both ends. Affinity's guide describes warm-intro paths drawn from your firm's relationship data, and Harmonic says it syncs team connections from inboxes, calendars and LinkedIn.

A general assistant can then write the forwardable note in the founder's voice, from their one-liner and your ask, so the connector has to add one sentence. The call on whether this connector has been asked too often this quarter stays with you. No relationship graph knows that a past ask went badly.

IC memos

AI writes a decent first IC memo when fed your call notes, the deck and sourced market research, and a dangerous one when it fills gaps from memory. Treat the draft as a reading aid for the deal lead, and keep the view, the risks and the comparison to your last three bets as human work.

Two checks belong in every memo template. First, ask for a source beside every number, using something like this:

Memo check prompt
For every figure in this memo draft (ARR, growth, burn, runway, market size,
round terms), give the file name, the page or tab, and the exact line it came from.
Write NO SOURCE where you can't find one. Don't estimate. List any figure that
differs between the deck and the financial model.

Second, check what the numbers mean. Founders don't all define annual recurring revenue the same way, and a model can copy the label without noticing pilots or one-off services inside it.

If you rely on the venture capital adviser exemption, add a line for how the shares are acquired. Rule 203(l)-1 treats equity bought directly from the company as a qualifying investment and caps non-qualifying holdings at 20 percent of contributions plus uncalled commitments. On that wording a secondary purchase generally eats into that 20 percent basket, which is a question for counsel. An AI draft won't raise it unless your template does.

Diligence data rooms

A data room suits document AI, since much of the first pass is pulling the same fields from contracts, cap tables and customer files. V7 Go describes agents that process decks, models and diligence reports, cite each extracted item back to its source and never train on customer data, with custom annual pricing. Hebbia offers Max and Matrix for investing teams, connects to SharePoint, Box and Dropbox, and sells through demos.

Extraction answers what the files say. It doesn't notice the customer contract that was never uploaded, the change-of-control clause in a file named oddly, or a cohort that was left out of the export. Keep a human list of what you expected to find, and treat reference calls and customer calls as the real test of the numbers.

Read the NDA before the upload

A founder gave you those files under an NDA or the data room's own terms. Check whether they let you pass documents to an outside software vendor, what that vendor keeps and whether it trains on them. If the company is public or close to it, the files may also hold material nonpublic information, covered in the rules below.

Portfolio support

AI can take over much of a platform team's metric collection: chasing founders for numbers, retyping them from board decks and reconciling definitions. Standard Metrics describes an agent that extracts financials from board decks and statements with a human review layer, plus an AI Analyst for questions across the portfolio. Visible puts AI Inbox and file parsing on its Premium plan. Neither publishes a price.

Founder updates are the sensitive part. A metric flagged as down 20 percent tells you to look, and it doesn't tell you the founder lost a cofounder last week. For a company in real trouble, an automated request for next month's numbers is the wrong message, so have someone read the list before it goes out.

Support work itself (the hiring intro, the customer intro, the term sheet you promised to read by Friday) lives in email. Software that tracks metrics won't catch those promises.

LP updates and reporting

AI can draft an LP letter's narrative, but its numbers need a tie-out. New investments, follow-ons and company news can start from your portfolio system's data. TVPI, DPI, net IRR, capital account balances and marks have to match what your fund administrator and auditor produce, line by line. Software may be reading them on the other side as well: our page on AI for wealth managers covers tools that extract capital calls and capital account statements for LPs' advisers.

Check the format your LPs expect, too. The Institutional Limited Partners Association's updated Reporting Template replaces the 2016 version for funds still in their investment period during Q1 2026 and funds starting on or after January 1, 2026. It's an industry template, and the SEC's own quarterly statement rule was vacated by the Fifth Circuit in June 2024 along with the other private fund adviser rules. Your LPA or a side letter can still bind you to a format or a deadline, so give AI that language along with the numbers.

Which SEC rules reach a venture fund's AI use

No SEC rule addresses AI at a venture fund directly, and the 2023 predictive analytics proposal was withdrawn in June 2025. Existing rules do the work, and which ones apply depends on whether your firm is registered or an exempt reporting adviser. Your counsel decides how they apply to you.

SEC rules and what they mean for AI at a fund

Rule

Who it covers

What it means for AI

Rule 206(4)-8

Advisers to pooled vehicles, and the SEC has used it against exempt reporting advisers

Bars untrue statements of material fact to investors and prospects. A wrong figure in an AI-drafted LP letter is your statement.

Marketing Rule

Advisers registered or required to register

Applies to advertisements, including fund materials. Hypothetical performance, such as a modeled return, has conditions, with a carve-out for one-on-one communications with private fund investors.

Rule 204-2

Advisers registered or required to register

Written communications on recommendations and fund transfers are kept at least five years. AI-drafted email counts once sent.

Section 204A

Advisers subject to Section 204. Sources differ on how it reaches exempt reporting advisers, so ask counsel

Written policies against misuse of material nonpublic information. Decide which AI tools may hold board material on public or soon-public companies.

Claims about your own AI carry risk as well. In March 2024 the SEC settled charges against two advisers, Delphia and Global Predictions, for misleading statements about their use of AI, with $400,000 in combined penalties. Neither was a venture firm, but an AI-driven sourcing engine in a fundraising deck needs to be something you can actually show.

Recording is the other limit, and it comes from state law. Under Section 632 of the California Penal Code, everyone on a confidential call has to agree before it's recorded, so open each founder call by announcing it, whichever tool is listening. Granola joins no call as a bot, which makes it less visible, not exempt. For the note-taking tools themselves, see this roundup.

What Merlin does for one partner, and what it leaves to other systems

We make Merlin, a Mac assistant that tracks one partner's relationships and promises on top of Gmail and Google Calendar. That's its lane: no pipeline stages, no diligence platform for data rooms, no fund metrics and no compliance archive. A firm on Microsoft 365 can't use it for its mail, because Google is required at setup.

  • Who you owe. The Needs you list shows founders, LPs and anyone else whose direct email has sat between 2 and 30 days without your answer. Merlin deliberately leaves pitches out, so cold inbound belongs in your CRM. Only email counts, so an intro asked for over text won't appear.
  • Portfolio founders and co-investors who dropped off. Gone quiet flags anyone you wrote to three or more times over the past year, if neither of you has emailed in two months.
  • Partner meeting prep. With about ten minutes to go before a meeting, Meeting Brief delivers attendee backgrounds, earlier discussions, commitments and agenda ideas. Prep me requests one whenever you want it.
  • Promises from a call. Merlin records on your Mac on any plan, and a paid plan transcribes the call by speaker. It may then message you the commitments from that call, yours and the other side's. The audio file remains on your machine, apart from the copy uploaded for transcription, and transcripts sit on your Merlin account.
  • The nudge itself. Ask for the note to a connector in chat, then edit the draft and confirm before anything leaves your Gmail.

Routines, Merlin's scheduled tasks that run on their own, work differently, since nobody reviews a run as it happens, and anything you let one send goes out with no approval step. Have a routine report to you in chat, and don't let it email LPs or founders. If your pipeline lives in Airtable or Notion, both connect as apps. Affinity, Standard Metrics and Visible advertise MCP servers, some only on higher plans, and Merlin accepts custom MCP servers, but check with the vendor before counting on that.

The intro you promised at dinner

When a portfolio CEO's email about an intro has sat unanswered for nine days, Merlin puts them on your Needs you list, shows your shared history, and, if you request it in chat, writes the nudge to the connector for you to approve. Recording calls costs nothing on the Free plan; transcription is a paid feature.

A first month: test AI on deals you've already decided

Decided deals and closed quarters make the fairest test, because you already know the answer. Run these in order, and stop at any step where the output is worse than what your team produced by hand.

  1. Set the data line. With counsel, read your standard NDA and LPA confidentiality terms, then write down which tools may hold deal documents and which may hold LP data.
  2. Clean one partner's relationships. Turn on capture or a notetaker for one person, with exclusions, and compare the log with their real week.
  3. Re-run a closed deal. Using documents you're allowed to process, generate the memo and the data room summary, then mark what the draft missed against your actual IC memo.
  4. Redraft last quarter's LP letter. Give AI the same inputs, then tie every figure to the administrator's statement and count the corrections.

Frequently asked questions

Can AI pick which startups to invest in?

Not on any evidence the vendors named here offer. Their products find companies, read documents and track metrics, and the decision and its accountability to LPs stay with the partners.

Can I upload a startup's data room to ChatGPT?

Only if the NDA allows it and your account's data terms fit what the founder agreed to. Check both first, and ask your counsel if the company is public or close to it.

Does the SEC Marketing Rule apply to my venture fund?

By its text it covers advisers registered or required to register with the SEC, so an exempt reporting adviser generally falls outside it. Rule 206(4)-8 on statements to fund investors still applies, so confirm your position with counsel.

Do LP reports have to follow the ILPA template?

No law requires it, because the ILPA Reporting Template is an industry standard. Your LPA, a side letter or an LP's own request can make it a requirement for your fund.
